License Policy

Before using the product

You may License Agreement the software product (hereinafter referred to as the "Product") of Saison Technology Co., Ltd. (hereinafter referred to as "Saison Technology") by agreeing to and complying with all terms and conditions of the license agreement.
Please check this before purchasing the product.

Usage form

The licensee (one corporation or equivalent organization) may License Agreement the product in one of the following ways: (1) for their own company's use, (2) for a group company's use, or (3) for service use.
However, (2) Use by Group Companies and (3) Use of Services are permitted only if the Customer has obtained consent from Saison Technology through the procedures specified by Saison Technology.
For HDC-EDI and some products, only the following usage form (1) applies.

  • You cannot change the usage pattern after signing the contract. If you wish to use the software in a different way from the current usage pattern, you will need to obtain a new license.

These are guidelines for the usage of our products. Please refer to them when determining the usage patterns mentioned above.

(1) For internal use

  • You may use the Products solely for your internal business purposes.
  • You may, at your own responsibility, allow external contractors to use the Products to the extent necessary to perform your internal business.
  • You may not use the product for the benefit of a third party (such as developing or operating a third party's business system).
  • The product cannot be used jointly by multiple corporations or organizations.

(2) Group company use

  • You may use the Products solely for the purpose of conducting the internal business of your group company (hereinafter referred to as "Group Company") based on a specific contract between you and your group company that falls under either ① or ② below.
    • Your consolidated subsidiary
    • The parent company of which the customer is a consolidated subsidiary and its consolidated subsidiaries
  • You may allow your group companies to use the Products to the extent necessary for the performance of their internal business operations, at your own responsibility.
  • You may, at your own responsibility, allow an external contractor to whom you or your group company outsources all or part of your group company's internal business to use the Products to the extent necessary for the performance of such outsourced business.
  • If the contract between you and your group company regarding the internal business operations of the group company is terminated, your and your group company's product usage rights will also terminate at the same time, and you will no longer be able to use the product.
  • If multiple group companies use the product jointly, the product license price will be 1.5 times the standard price (excluding Thunderbus and PIMSYNC; please contact us for DataSpider Servista).

Scope of group companies

(3) Use of the Service

  • You may use the Products for the purpose of providing services (including, but not limited to, outsourcing, hosting, cloud services, ASP, SaaS, PaaS, IaaS, etc., whether paid or free of charge; hereinafter referred to as "Services") to your customers (hereinafter referred to as "Service Users") via the information system infrastructure and networks such as the Internet that you manage and operate.
  • You may allow Service Users to use the Products to the extent necessary to use the Services at your own risk.
  • You may, at your own responsibility, allow an external company to use the Products to which you or a service user entrusts all or part of the work related to the provision or use of the Services, within the scope necessary for the performance of such entrusted work.
  • When the contract for the provision of services between the Customer and the Service User is terminated, the Customer's and the Service User's right to use the product will also be terminated at the same time, and the Customer and the Service User will no longer be able to use the product.
  • If you use the product on a service platform that provides services to multiple service users, the product license price will be at least twice the standard price (at least three times for DataSpiderServista).
  • If your customer provides services, the above five paragraphs shall apply, replacing "you" with "you and your customer."

Group company use and service use prices (after April 1, 2021)

In the case of the following usage patterns described in the product usage guidelines, the price may vary depending on the number of joint-use companies.

  • Please contact us if the number of joint-use companies is 16 or more.
  • For applicable products of HULFT Series and DataSpider Series, please refer to the product usage guidelines.
  • HULFT DataCatalog applies the "HULFT Series" table.
  • There is no change in price for HULFT-WebConnect even when used jointly.

    ・Please purchase a standard license for the number of group companies that will be jointly used.
    ・Purchase a DataSpider Servsita shared use license

How to apply

For group company use and service use, customers may use the products only after applying to Saison Technology according to the following procedures and receiving approval from Saison Technology.

(1) How to apply for group company use

  • Customers should fill in the following Group Company Use/Service Use Application Form, including the official name of their group company and any other information specified by Saison Technology, and submit it to the dealer along with the order form and license application form.   • If joint-use companies of group companies increases, an application is required, so please see here.

(2) How to apply for service use

  • Customers should fill in the following Group Company Use/Service Use Application Form, including the name of the service, a summary of the service, the official name of the service user, and any other information specified by Saison Technology, and submit it to the dealer along with the order form and license application form.   • If joint-use companies increases, an application is required. Please see here.

Notification and change of License Agreement

License Agreement are requested to provide their customer information in writing at the time of purchasing the product.
You may not transfer or lend your license to a third party.
If you wish to change License Agreement due to a company merger, division, etc., please fill out the necessary information on the following License Agreement change application form and submit it to your dealer along with a document stating the reason for the change.

  • In the case of a change in License Agreement due to a business transfer, a separate memorandum of understanding regarding succession of status must be concluded.
